PREAMBLE
PARTIES TO THIS AGREEMENT

This Independent Contractor Agreement ("Agreement") is entered into between FixaFlow LLC ("Company," "Platform," or "FixaFlow"), a Florida limited liability company operating the platform at ifixaflow.com, and the individual plumbing professional ("Contractor," "Plumber," or "Pro") who executes this Agreement via digital signature below.

By signing this Agreement, both parties agree to the terms set forth herein governing the Contractor's use of the FixaFlow platform to connect with and provide services to customers.

SECTION 01
NATURE OF RELATIONSHIP

Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of FixaFlow. Nothing in this Agreement shall be construed to create an employment relationship between the parties.

  • Contractor retains full control over the manner and method of performing services, including choice of tools, scheduling approach, and work techniques.
  • FixaFlow does not withhold federal, state, or local taxes from Contractor payments. Contractor is solely responsible for all self-employment taxes, income taxes, and any other taxes or fees arising from compensation received.
  • Contractor is not entitled to any employee benefits including workers' compensation, unemployment insurance, health insurance, retirement plans, or paid time off through FixaFlow.
  • Contractor may perform services for other clients, platforms, and businesses outside of FixaFlow, provided such work does not violate any confidentiality or non-solicitation provisions herein.
  • FixaFlow acts solely as a technology platform facilitating connections between licensed plumbing professionals and customers seeking services.
Tax Note: Contractor will receive IRS Form 1099-NEC for any earnings totaling $600 or more in a calendar year. Contractor should consult a tax professional regarding quarterly estimated tax payments.
SECTION 02
SCOPE OF SERVICES

Contractor agrees to provide professional plumbing services to customers matched through the FixaFlow platform ("Services"). The scope of Services includes:

  • Responding promptly to job requests dispatched through the FixaFlow system via SMS, app notification, or platform dashboard.
  • Diagnosing plumbing issues and providing accurate, itemized quotes to customers prior to performing work.
  • Performing all work in a professional, workmanlike manner consistent with applicable trade standards and local code requirements.
  • Entering job details, pricing, and materials into the FixaFlow platform as required for billing and records.
  • Communicating job status updates to FixaFlow dispatch as applicable.
  • Maintaining clean, professional conduct on all job sites.

Contractor warrants that all services will be performed in compliance with applicable local, state, and federal laws, regulations, and licensing requirements in the jurisdiction where the work is performed.

Licensing Requirement: Contractor must hold and maintain a valid plumbing license in the applicable jurisdiction at all times during this Agreement. Contractor must immediately notify FixaFlow of any license suspension, revocation, or disciplinary action.
SECTION 03
COMPENSATION & PAYMENT

Contractor shall be compensated on a per-job basis according to the following terms:

  • Quote-Based Payment: Contractor enters the job price directly into the FixaFlow platform after diagnosing the job. This price is sent to the customer for approval via SMS.
  • Customer Approval Required: Payment is processed only after the customer approves the quoted price via SMS confirmation or written consent on-site.
  • 2-Hour Auto-Charge Rule: If a customer does not respond to an SMS price approval within 2 hours of transmission, FixaFlow reserves the right to auto-charge the quoted amount to the customer's payment method on file. Contractor acknowledges this rule and agrees it constitutes valid customer authorization for payment processing purposes.
  • Stripe Connect Payouts: All payments to Contractor are processed through Stripe Connect. Contractor must create and maintain a valid Stripe Connect account linked to their FixaFlow profile to receive payment.
  • Platform Fee: FixaFlow retains a platform service fee from each transaction. The current fee schedule is disclosed in the Contractor portal and may be updated with 14 days' written notice.
  • Payout Timeline: Funds are transferred to Contractor's connected Stripe account within 2–5 business days of confirmed customer payment, subject to Stripe's standard transfer schedule.
  • Disputed Jobs: In cases of customer disputes, FixaFlow may temporarily hold payment pending resolution. Contractor agrees to cooperate fully with any dispute resolution process.
Direct Payout: Contractor receives payment directly to their Stripe account — FixaFlow does not hold funds beyond the platform fee. You get paid as soon as Stripe processes the transfer.
SECTION 04
PLATFORM RULES & CONDUCT

To maintain the integrity of the FixaFlow marketplace, Contractor agrees to the following platform conduct requirements:

  • Contractor must respond to dispatched job requests within the timeframe specified by the platform. Repeated non-responses may result in deprioritization or suspension of account.
  • Contractor may not solicit customers matched through FixaFlow to transact outside the platform, bypass platform payments, or divert business to circumvent platform fees. Violation of this clause is grounds for immediate termination and may result in financial penalties.
  • Contractor must not misrepresent qualifications, licensing status, experience, or the scope of work performed.
  • Contractor must enter accurate job pricing and not inflate quotes. FixaFlow reserves the right to review pricing for fairness and market conformance.
  • Contractor must not engage in discriminatory practices in accepting or refusing jobs based on protected characteristics of customers.
  • Contractor must maintain a professional rating as measured by customer feedback. Accounts falling below the minimum rating threshold (as defined in the Contractor portal) may be subject to review or deactivation.
  • Contractor must keep contact information, licensing, and Stripe account details current and accurate at all times in the FixaFlow platform.
SECTION 05
INSURANCE & LICENSING

As an independent contractor, Contractor is solely responsible for maintaining all insurance coverage required to perform plumbing services professionally and legally.

  • General Liability Insurance: Contractor must maintain commercial general liability insurance with a minimum coverage of $1,000,000 per occurrence and $2,000,000 aggregate, or as otherwise required by the jurisdiction of operation.
  • Workers' Compensation: If Contractor employs or subcontracts additional workers on any job, Contractor must maintain workers' compensation insurance as required by applicable law.
  • Proof of Insurance: Contractor must provide current certificates of insurance upon request by FixaFlow at any time. Failure to maintain adequate insurance is grounds for immediate suspension of platform access.
  • Licensing: Contractor must hold a valid, current plumbing license issued by the appropriate state or local licensing authority for each jurisdiction in which they perform services.
  • Permits: Contractor is responsible for obtaining any permits required for work performed on a job site. FixaFlow is not responsible for permit fees or requirements.
FixaFlow Does Not Provide Coverage: FixaFlow carries no insurance covering Contractor's work, injuries, or property damage. Contractor indemnifies FixaFlow from all claims arising from Contractor's services, negligence, or failure to maintain required coverage.
SECTION 06
CONFIDENTIALITY & DATA

Contractor agrees to treat all non-public information obtained through the FixaFlow platform as strictly confidential, including:

  • Customer personal information, contact details, addresses, and payment data.
  • FixaFlow's proprietary pricing models, dispatch algorithms, platform logic, and business processes.
  • Customer lists, service history, and any data accessible through the Contractor portal.
  • Internal communications, support correspondence, and operational procedures shared by FixaFlow.

Contractor may not use confidential information for any purpose other than performing services booked through the FixaFlow platform. This obligation survives termination of this Agreement for a period of 3 years.

Contractor acknowledges that FixaFlow collects and processes data about Contractor's platform activity (job history, response times, ratings, etc.) to operate and improve the platform. This is disclosed in FixaFlow's Privacy Policy.

SECTION 07
TERM & TERMINATION

Term: This Agreement begins on the date of Contractor's digital signature and continues indefinitely until terminated by either party.

  • Termination by Contractor: Contractor may terminate this Agreement at any time with 5 days' written notice to FixaFlow. Contractor must complete all accepted jobs before or during the notice period.
  • Termination by FixaFlow: FixaFlow may terminate this Agreement at any time with 5 days' notice, or immediately for cause, including but not limited to: license suspension, insurance lapse, fraud, customer harm, repeated platform violations, or conduct damaging to FixaFlow's reputation.
  • Effect of Termination: Upon termination, Contractor's access to the FixaFlow platform will be revoked. Any pending payments for completed, approved jobs will still be processed per normal payout timelines. Any disputed or open jobs at termination will be handled per FixaFlow's dispute policy.
  • Survival: Sections 6 (Confidentiality), 8 (Limitation of Liability), and 9 (Dispute Resolution) survive termination of this Agreement.
SECTION 08
LIMITATION OF LIABILITY & INDEMNIFICATION

Limitation of Liability: To the maximum extent permitted by applicable law, FixaFlow's total liability to Contractor for any claim arising under this Agreement shall not exceed the total platform fees paid by Contractor in the 30 days preceding the claim.

FixaFlow shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits or loss of business opportunities.

Indemnification: Contractor agrees to indemnify, defend, and hold harmless FixaFlow LLC, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Contractor's performance of or failure to perform services.
  • Contractor's negligence, misconduct, or violation of law.
  • Contractor's breach of any representation, warranty, or obligation under this Agreement.
  • Any property damage or bodily injury caused by Contractor in the course of performing services.
  • Contractor's failure to maintain required licensure or insurance.
SECTION 09
DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be Miami, Florida. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: Contractor waives any right to participate in a class action lawsuit or class-wide arbitration against FixaFlow.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction in lieu of arbitration.

SECTION 10
MISCELLANEOUS
  • Entire Agreement: This Agreement, together with FixaFlow's Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings.
  • Amendments: FixaFlow may modify this Agreement with 14 days' notice to Contractor. Continued use of the platform after the effective date constitutes acceptance of the amended terms.
  • Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure of either party to enforce any provision shall not constitute a waiver of that party's right to enforce it in the future.
  • Electronic Signatures: The parties agree that electronic signatures and digital agreement execution are legally binding and of the same force and effect as original signatures pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN).
  • Notices: All notices under this Agreement shall be sent to FixaFlow via email at legal@ifixaflow.com, and to Contractor at the email address on file in their FixaFlow account.
